3DR Partnership - Terms and Setup (Wingtra Internal)

Explains how our agreement with 3DR is setup and how we manage the interaction between our resellers and 3DR

Background:

Wingtra has reached an agreement with 3DR on a global scale to collaborate in sales & marketing. 3DR will be offering WingtraOne drones in bundles with their own SiteScan software. Depending on the territories considered and the existing agreements between Wingtra and our current distributors the exact sales setup may vary. Please check with Leo if unsure about the setup for your territory.

Terms:

  • 3DR promotes WingtraOne together with their SiteScan software, but can also sell stand alone Wingtra products.
  • Upon successfull sale 3DR buys from Wingtra. Wingtra then fulfils the sale trough the local distributor in the corresponding territory.
  • 3DR has to confirm prices prior to quoting with Wingtra (to make sure to respect local import tax markups etc).
  • 3DR communicates with Wingtra and Wingtra communicates with the Distributor. There is no direct order from 3DR at the distributor.
  • The distributor gets 20% discount instead of 25% on sales we bring to them (since we made the closing effort), but still is expected to do the logistics, initial training and first line of support.

Territories affected:

USA, EU, Australia, more based on demand of 3DR. But Wingtra happy to grant more territory.

3DR Sales Setup (see description and flowchart below):

  1. Wingtra has to inform 3DR about the End User Price (Street prices) that Wingtra distributors are willing to sell our products for to 3DR in every territory. This pricing is defined by the Wingtra distributor in the territory and will include the shipping costs and import taxes. It has to be the same price at which the distributor sells (no 3DR markup).
  2. 3DR makes a sale of a SiteScan + WingtraOne bundle to a customer quoting the agreed prices and informs Wingtra
  3. 3DR collects the payment from the customer (End User Price amount) and sends payment to Wingtra which equals End User Price - 3DR discount (3% for now, could change in the future)
  4. Wingtra informs the Distributor to deliver a WingtraOne package to 3DR (without payment)
  5. Wingtra compensates distributor in either Credit Note Option or Cash Payment Option (see flowchart and explanation below). The Credit Note option is preferable by Wingtra and likely larger resellers so should be suggested as preferred option. For small resellers the Credit Note option will likely be less attractive (if they do not want to keep stock) so ok to proceed with Cash Payment option.
